Terms of Service for Praize

1. Agreement to Terms By purchasing services from Praize, you agree to be bound by these Terms of Service. If you do not agree with these terms, you may not use our services.

2. Our Services Praize offers services designed to help South African micro-enterprises improve their online presence and credibility. We offer two primary plans: the "Assurance Plan" ongoing service and the "Express" one-time setup project.

3. The Assurance Plan


4. Our 'No-Quibble' Six-Month Money-Back Guarantee 

Our Commitment: We are partners in your success. This guarantee is our commitment to that partnership. It applies exclusively to clients on "The Assurance Plan" who have maintained an active, uninterrupted subscription for six (6) consecutive months. 

The Promise: If, after this six-month period, you honestly feel that Praize has not delivered value to your business, you are entitled to a full refund of the R4,200 you've paid. No arguments, no fine print. 

How to Claim: To request a refund under this guarantee, simply email Levi directly, and we will schedule a brief offboarding call to process the refund and learn from your experience. 

Good Faith: This guarantee is offered in good faith and assumes you have met your client responsibilities (e.g., providing timely information). We reserve the right to decline a refund in clear cases of bad faith.


5. The Express Plan


6. Add-On: The Credibility Kit

Service: The Credibility Kit is a one-time add-on service, available for R3,000. It includes a professional on-site photography session, a written review, and a video walkthrough of your establishment, all published via our Master Guide account to enhance your online credibility.

8. Client Responsibilities For us to deliver our services effectively, you agree to provide us with timely access to necessary information and accounts. This includes, but is not limited to, access to your Google account, business information, logos, and any other materials we request to perform our work. Delays in providing this information may impact project timelines.


9. Intellectual Property & Ownership

9.1. Your Content Remains Yours You retain full ownership of all materials you provide to us, including text, logos, and images ("Client Content"). You grant us a license to use your Client Content solely for the purpose of providing our services to you.

9.2. Ownership of the Praize-Built Website (The Assurance Plan) We build your website as part of our ongoing partnership on The Assurance Plan. Therefore, ownership of the final, assembled website ("Praize-Built Website") is tied to the duration of your subscription. If Assurance plan gets cancelled, you will need to pay for the monthly hosting of your website.

9.3. Ownership of the Praize-Built Website (The Express Plan) Upon our receipt of your full, one-time payment for the "Express" plan, we grant you a perpetual, worldwide license to use the final, assembled website. We will provide the full "Handover Pack" to you upon project completion.

9.4. Our Tools Remain Ours We retain ownership of all our pre-existing technology, processes, software (including our HubSpot CMS configuration ), and tools used to create and manage your website.


10. Limitation of Liability: Our Commitment to Quality We are committed to providing a high-quality, professional service. However, our services are provided "as is" without any warranties of uninterrupted service. Defining the Financial Scope: To the maximum extent permitted by law, the total financial liability of Praize for any claim arising out of this agreement shall not exceed the total fees you have paid to us in the six (6) months immediately preceding the event that gave rise to the claim. Indirect Damages: We are not liable for any indirect or consequential damages, including lost profits or business interruption, that may result from the use of our services.


11. Website Deliverables & Scope Included Pages Unless otherwise agreed upon in writing, the website setup for both the "Express" and "The Assurance Plan" includes five (5) core pages. The standard structure is Home, About Us, Services/Menu, Gallery, and Contact Us. We will finalize the specific titles during onboarding to best suit your business. 

Exclusions & Additional Work Any work beyond the initial setup and content population of these five pages is considered an "Add-on" service. This includes, but is not limited to: creating additional pages, integrating e-commerce stores, or developing advanced booking systems. All add-on work will be quoted and approved separately before commencement. For clients on The Assurance Plan, some minor updates may be performed as part of your "Weekly Wins," at our sole discretion.


12. Client Responsibilities & Timely Collaboration We are committed to a swift and professional setup. To achieve this, you agree to provide all necessary information and assets in a timely manner. Required Materials: This includes, but is not limited to: final text for website pages, high-quality logos or images, and access to any existing accounts we need to perform our work. Impact of Delays: Delays in providing these materials will have a negative effect on service delivery. We are not responsible for delays caused by late, incorrect or incomplete submission of required materials from your side.


13. Cancellation 

13.1 Termination by Us (Praize)

We reserve the right to terminate this agreement with immediate effect by providing written notice if you fail to comply with these terms, or if we cease to offer the service. In such a case, we will provide a final Handover Pack and facilitate the transfer of your website assets.


13.2 Cancellation by You (The Assurance Plan)

You may cancel your subscription at any time, for any reason, directly from your account dashboard. No questions asked. Your cancellation will take effect at the end of your current paid billing period. You will not be billed again. Upon cancellation, we will provide you with a "Handover Pack" containing all necessary files and instructions to transfer your website, domain, and hosting to your own provider.


13.3 Cancellation by You (Express Plan)

The fee for the Express plan is a one-time payment for the setup service. Due to the upfront nature of this work, we do not offer refunds once the project has commenced. We stand by our work and will fix any errors related to our initial setup at no charge.



14. Disclaimer of Warranties Praize will perform its services with a professional standard of care. However, we do not guarantee any specific business outcomes, such as a #1 ranking on Google, a specific number of new customers, or a specific increase in revenue. The digital landscape is complex, and our goal is to build a strong foundation for your success.

15. Governing Law These Terms shall be governed by and construed in accordance with the laws of South Africa.

16. Changes to These Terms We may update these terms from time to time. We will notify you of any changes by posting the new terms on this page.
